Welcome to Callers360! These Terms of Use ("Terms") govern your access to and use of the Callers360 website, services, and applications (including Smart Dialer, Caller Mobile App, and Admin Control Panel) (collectively, the "Services") provided by Callers360 ("we," "us," or "our").

By accessing or using our Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, please do not use our Services. These Terms are governed by and construed in accordance with the laws of India, and the courts in Panjim, Goa, India shall have exclusive jurisdiction.

1. Acceptance of Terms

By creating an account or using the Services, you affirm that you are at least 18 years of age and are legally capable of entering into a binding agreement. If you are using the Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

2. Description of Services

Callers360 provides an AI-powered call management platform designed to help businesses optimize their calling operations. Our Services include, but are not limited to, intelligent dialing, real-time performance monitoring, AI-powered call analysis, advanced analytics, and tools for administrative control.

3. Account Registration and Security

• To access certain features of the Services, you must register for an account.
• You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.
• You are responsible for maintaining the confidentiality of your account password and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

4. User Responsibilities and Conduct

• Lawful Use: You agree to use the Services only for lawful purposes and in compliance with all applicable local, state, national, and international laws, regulations, and industry best practices, including telemarketing laws (e.g., TRAI regulations in India), consumer protection laws, and data privacy laws.
• Data Privacy: You acknowledge and agree that you are solely responsible for obtaining all necessary consents from your customers or contacts for the collection, processing, and use of their data, including call recordings, through the Services. You must ensure that your use of the Services complies with all relevant data protection laws, including any applicable Indian data protection laws.
• Prohibited Conduct: You agree not to:
  • Use the Services for any fraudulent, misleading, or abusive purposes.
  • Engage in any activity that interferes with or disrupts the integrity or performance of the Services.
  • Attempt to gain unauthorized access to our systems or user accounts.
  • Transmit any viruses, worms, or other malicious code.
  • Use the Services to send unsolicited or unauthorized advertising, promotional materials, or spam.
  • Infringe upon the intellectual property rights of others.

5. Intellectual Property Rights

• All intellectual property rights in the Services, including but not limited to software, design, text, graphics, logos, and trademarks, are owned by Callers360 or its licensors.
• You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your internal business purposes, subject to these Terms.
• You retain ownership of the data you input into the Services. You grant Callers360 a worldwide, non-exclusive, royalty-free license to use, process, store, and display your data solely for the purpose of providing and improving the Services to you, in accordance with our Privacy Policy.

6. Fees and Payment

Access to certain features of the Services may require payment of fees. You agree to pay all applicable fees as described on our website or in your service agreement. All fees are non-refundable unless otherwise stated. We reserve the right to change our pricing upon reasonable notice.

7. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT ANY WARRANTIES OF ANY KIND, EXPRESS ORIED. CALLERS360 DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE FROM VIRUSES OR OTHER HARMFUL COMPONENTS. CALLERS360 MAKES NO WARRANTIES REGARDING THE ACCURACY, COMPLETENESS, OR RELIABILITY OF ANY DATA OR INFORMATION OBTAINED THROUGH THE SERVICES. YOU USE THE SERVICES AT YOUR SOLE RISK.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL CALLERS360, ITS AFFILIATES, DIRECTORS, EMPLOYEES, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (I) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICES; (II) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICES; (III) ANY CONTENT OBTAINED FROM THE SERVICES; AND (IV) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, WHETHER OR NOT WE HAVE BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE, AND EVEN IF A REMEDY SET FORTH HEREIN IS FOUND TO HAVE FAILED OF ITS ESSENTIAL PURPOSE.

IN NO EVENT SHALL CALLERS360'S TOTAL LIABILITY TO YOU FOR ALL DAMAGES, LOSSES, AND CAUSES OF ACTION ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SERVICES EXCEED THE AMOUNT PAID BY YOU TO CALLERS360 IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE THOUSAND INDIAN RUPEES (INR 1,000), WHICHEVER IS LESSER.

9. Indemnification

You agree to indemnify, defend, and hold harmless Callers360, its affiliates, directors, officers, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with: (a) your access to or use of the Services; (b) your violation of these Terms; (c) your infringement of any third-party right, including any intellectual property or privacy right; or (d) your violation of any applicable law or regulation, including telemarketing and data privacy laws.

10. Termination

We may suspend or terminate your access to the Services immediately, without prior notice or liability, if you breach any of these Terms. Upon termination, your right to use the Services will immediately cease. If you wish to terminate your account, you may simply discontinue using the Services or contact us to request account deletion.

11. Governing Law and Jurisdiction

These Terms shall be governed and construed in accordance with the laws of India, without regard to its conflict of law provisions. Any dispute, controversy, or claim arising out of or relating to these Terms or the breach, termination, or invalidity thereof shall be exclusively settled by the competent courts in Panjim, Goa, India.

12. Changes to These Terms

We reserve the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. By continuing to access or use our Services after any revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, you are no longer authorized to use the Services.
